1. Introduction

Welcome to Sinbad (“Sinbad,” “we,” “our,” or “us”).

These Terms of Service (“Terms”) govern access to and use of the Sinbad website, mobile applications, seller tools, driver tools, administrative interfaces, marketplace services, and any related digital services officially provided by Sinbad (collectively, the “Platform”).

Sinbad operates a multi-vendor marketplace through which Customers may purchase products and services from independent Sellers.

These Terms establish the legal relationship between Sinbad and each person or entity using the Platform, including Customers, Sellers, Drivers, Delivery Providers, and any other Platform participant.

By accessing or using the Platform, creating an account, placing an Order, listing products, participating in marketplace operations, or otherwise using any Sinbad service, you agree to these Terms.

If you do not agree to these Terms, you must not access or use the Platform.

Nothing contained in these Terms limits any mandatory consumer rights or legal protections granted under applicable law.

2. Definitions

For the purposes of these Terms:

Account means a registered Platform account created or used by a Customer, Seller, Driver, administrator, employee, representative, or other authorized user.

Applicable Law means all mandatory laws, regulations, ministerial decisions, consumer protection rules, electronic commerce rules, payment rules, data protection rules, transportation rules, and other legal requirements applicable to the Platform or a transaction.

Business Day means a day on which banks and ordinary commercial businesses are generally open in Kuwait, excluding public holidays.

Customer means a person or legal entity that browses, purchases, receives, or attempts to purchase products or services through the Platform.

Delivery Address means the address confirmed by the Customer for delivery of an Order.

Delivery Fee means the delivery amount shown to the Customer before Order confirmation.

Delivery Provider means any Driver, logistics company, courier, transportation company, Seller delivery team, or other party authorized to perform delivery services through or in connection with the Platform.

Driver means a person authorized to collect, transport, or deliver Orders on behalf of Sinbad, a Seller, or an approved Delivery Provider.

Order means a purchase request submitted through the Platform.

Parent Order means a single Customer checkout that may contain products from one or more Sellers and that may be split internally for operational, delivery, financial, support, refund, return, or Seller-management purposes.

Platform Content means text, images, designs, software, trademarks, logos, icons, product data, page layouts, documentation, and other content made available through the Platform, excluding User Content.

Seller means an independent merchant, vendor, business, store operator, or commercial entity offering products or services through the Platform.

Service Fee means any fee charged by Sinbad for marketplace, payment, technology, delivery, advertising, subscription, support, or other Platform services, where applicable.

User means any Customer, Seller, Driver, Delivery Provider, administrator, employee, representative, visitor, or other person using the Platform.

User Content means any content, information, material, image, review, rating, listing, description, message, proof, document, or data submitted, uploaded, posted, transmitted, or otherwise provided by a User through the Platform.

3. Platform Scope

Sinbad provides a digital marketplace and related technology services.

The Platform may include:

  • Customer browsing and ordering services.
  • Seller product listing and order-management tools.
  • Driver and delivery-management tools.
  • Marketplace payment coordination.
  • Customer support and dispute facilitation.
  • Notifications and communications.
  • Business pages and policy pages.
  • Administrative tools.
  • Additional services officially introduced by Sinbad from time to time.

Products and services listed on the Platform may be supplied by independent Sellers.

Sinbad may support online payment, cash on delivery, delivery by Sinbad, delivery by Seller, marketplace promotions, customer support, returns coordination, refund processing, and other services where available.

The availability of any feature, product category, Seller, delivery method, payment method, promotion, or service may vary by location, time, operational capacity, Seller approval, legal requirement, or Platform configuration.

4. Acceptance of Terms

You accept these Terms when you:

  • Access or use the Platform.
  • Create or use an Account.
  • Place, accept, prepare, collect, deliver, cancel, return, refund, or manage an Order.
  • List or sell products through the Platform.
  • Upload User Content.
  • Use Platform tools or services.
  • Continue using the Platform after updated Terms become effective.

If you use the Platform on behalf of a company, Seller, employer, principal, organization, or other legal entity, you represent that you are authorized to bind that entity to these Terms.

5. Eligibility

You may use the Platform only if you are legally capable of entering into binding obligations under Applicable Law.

By using the Platform, you represent that:

  • You have legal capacity to use the Platform.
  • You will provide accurate, complete, and current information.
  • You will comply with these Terms and all applicable Platform policies.
  • You will comply with Applicable Law.
  • You will not use the Platform for unlawful, fraudulent, abusive, misleading, or unauthorized purposes.

Sinbad may restrict or refuse access to the Platform where legally required, where necessary for security or fraud prevention, where account eligibility cannot be verified, or where use of the Platform may create legal, operational, safety, or marketplace-integrity risk.

6. Account Creation

Certain Platform features require an Account.

When creating or maintaining an Account, you must provide accurate, complete, and current information.

Sinbad may require verification of identity, phone number, email address, business registration, authorization, tax information, banking information, location information, delivery capability, or other information depending on the Account type and services used.

You must not create an Account using false information, another person’s identity, unauthorized credentials, misleading business details, or information you are not legally entitled to use.

Sinbad may refuse, suspend, restrict, or close an Account if required information is missing, inaccurate, unverifiable, misleading, fraudulent, or inconsistent with Platform requirements.

7. Account Ownership and Security

You are responsible for maintaining the confidentiality and security of your Account credentials.

You are responsible for all activity occurring through your Account unless the activity resulted solely from Sinbad’s failure to maintain the security of systems under its control.

You must:

  • Keep login credentials confidential.
  • Use accurate contact information.
  • Promptly update outdated information.
  • Notify Sinbad of suspected unauthorized access.
  • Not share credentials with unauthorized persons.
  • Not sell, transfer, lease, assign, or sublicense your Account without Sinbad’s prior approval.

Sinbad may treat activity performed through an Account as authorized by the Account holder unless Sinbad has received and processed notice of unauthorized access or unless Applicable Law requires otherwise.

8. User Responsibilities

All Users must use the Platform responsibly, lawfully, and honestly.

Users must not:

  • Misrepresent identity, authority, location, product information, delivery information, payment information, or transaction facts.
  • Submit false, misleading, defamatory, abusive, unlawful, or infringing content.
  • Interfere with Platform security or availability.
  • Circumvent payment, delivery, refund, return, commission, fee, or fraud-prevention systems.
  • Use automated scraping, unauthorized bots, reverse engineering, or unauthorized data extraction.
  • Attempt to access non-public Platform systems, accounts, or data.
  • Abuse promotions, coupons, refunds, delivery services, reviews, or customer support.
  • Harass, threaten, impersonate, or harm another person.
  • Violate Applicable Law or third-party rights.

Users are responsible for ensuring that information they provide through the Platform is accurate, complete, lawful, and not misleading.

9. Marketplace Services

Sinbad provides marketplace technology and related operational services.

Sinbad may facilitate product discovery, order placement, payment coordination, Seller communications, delivery coordination, customer support, dispute facilitation, and marketplace administration.

Sinbad does not guarantee that every product, Seller, delivery method, payment method, promotion, or feature will be available at all times.

Sinbad may modify, suspend, limit, replace, or discontinue Platform features where reasonably necessary for security, legal compliance, operational performance, marketplace integrity, product improvement, or business reasons.

10. Seller Independence

Sellers are independent businesses and are not employees, agents, partners, representatives, franchisees, or joint venturers of Sinbad unless a separate written agreement expressly states otherwise.

Sellers are responsible for:

  • Their product listings.
  • Product descriptions and images.
  • Product quality and safety.
  • Pricing and availability where controlled by the Seller.
  • Product preparation.
  • Legal compliance relating to their products.
  • Seller-managed delivery where applicable.
  • Seller warranties and obligations required by Applicable Law.

Sinbad may establish marketplace standards, operational rules, content rules, financial rules, delivery requirements, customer-service standards, and compliance requirements for Sellers.

Sinbad may remove or restrict Seller listings, suspend Seller access, withhold publication of content, or take other appropriate action where required for Platform integrity, legal compliance, safety, or protection of Customers, Sellers, Drivers, or Sinbad.

11. Product Information and Availability

Product descriptions, images, prices, availability, delivery estimates, and related information may be provided by Sellers, Sinbad, or authorized service providers.

Users acknowledge that product appearance, packaging, availability, quantity, and specifications may vary where permitted by law and where such variation does not violate mandatory consumer rights.

Sinbad and Sellers must not knowingly publish false or misleading product information.

If an item becomes unavailable after an Order is placed, the Order may be adjusted, cancelled, substituted where permitted and accepted, refunded, or otherwise handled in accordance with the applicable Platform policies and Applicable Law.

12. Prices, Fees, Taxes, and Charges

Prices, Delivery Fees, Service Fees, taxes, discounts, promotions, and any other charges will be displayed where applicable before Order confirmation or otherwise disclosed through the Platform.

Prices and fees may vary based on Seller, location, delivery method, product category, promotion, availability, operational cost, or Platform configuration.

Customers are responsible for paying the total amount shown at checkout unless a later adjustment, cancellation, refund, or correction is required by Applicable Law or applicable Platform policy.

Sellers are responsible for complying with any tax, invoice, product-pricing, accounting, reporting, and commercial obligations applicable to their business.

Nothing in these Terms alters any financial allocation, commission, delivery-fee treatment, gateway-fee treatment, refund, payout, settlement, or ledger rule implemented under Sinbad’s approved financial policies, Seller agreements, or internal financial controls.

13. Orders

An Order submitted through the Platform is an offer to purchase the selected products or services under the terms displayed at checkout and the applicable Platform policies.

Orders may be subject to:

  • Payment authorization or confirmation.
  • Product availability.
  • Seller acceptance or preparation.
  • Delivery availability.
  • Security checks.
  • Fraud-prevention checks.
  • Compliance checks.
  • Operational capacity.

Sinbad may reject, cancel, suspend, or require additional verification for an Order where permitted by Applicable Law and reasonably necessary for security, fraud prevention, product availability, pricing errors, payment failure, delivery impossibility, Seller inability, legal compliance, or marketplace integrity.

14. Order Acceptance

An Order is not necessarily accepted merely because it has been submitted by the Customer.

Order acceptance may occur after payment verification, Seller confirmation, inventory confirmation, delivery confirmation, or other Platform processing steps.

Sinbad may communicate Order status through the Platform, mobile applications, email, SMS, push notification, customer support, or other approved channels.

Where an Order contains products from multiple Sellers, Sinbad may split the Parent Order internally by Seller for preparation, delivery, financial, support, refund, return, or operational purposes.

15. Payment

The Platform may support payment methods including online payment, cash on delivery, wallet-related functionality where available, or other payment methods officially enabled by Sinbad.

Payment methods may be subject to additional requirements imposed by payment gateways, banks, card schemes, regulators, or fraud-prevention systems.

Sinbad may refuse, delay, cancel, or require verification of a transaction where payment authorization fails, payment appears suspicious, payment data is inconsistent, payment rules require review, or Applicable Law requires action.

Customers must not submit unauthorized payment instruments, stolen payment information, chargeback abuse, false payment evidence, or other misleading payment information.

Payment disputes, reversals, refunds, cancellations, and chargebacks are handled in accordance with the applicable Platform policies, payment-provider rules, and Applicable Law.

16. Delivery

Delivery is governed by the Shipping & Delivery Policy and any delivery conditions displayed before checkout or otherwise approved through the Platform.

Depending on the Seller and delivery model, delivery may be performed by Sinbad, a Driver, a Delivery Provider, or the Seller.

Customers are responsible for providing a complete and accurate Delivery Address and remaining reasonably available during the delivery period.

Delivery estimates are operational estimates unless expressly stated otherwise.

A Parent Order containing products from multiple Sellers may be delivered in one or more installments where operationally required.

Delivery Fees remain governed by the applicable checkout display, Shipping & Delivery Policy, and financial rules approved by Sinbad.

17. Cancellations, Returns, Refunds, and Exchanges

Cancellations, returns, refunds, exchanges, unavailable products, failed deliveries, customer disputes, Seller disputes, restricted products, defective products, and chargebacks are governed by the Return, Refund & Cancellation Policy where applicable.

Nothing in these Terms removes any mandatory right available to a Customer under Applicable Law.

Refund eligibility, refund amount, timing, payment method, deduction, delivery-fee treatment, Seller liability, Sinbad liability, and dispute handling are determined according to the applicable Platform policies and Applicable Law.

18. Platform Policies

The following policies form part of these Terms where applicable:

  • Privacy Policy.
  • Shipping & Delivery Policy.
  • Return, Refund & Cancellation Policy.
  • Seller agreements or Seller terms where applicable.
  • Delivery, driver, promotion, product, payment, verification, support, or other operational terms published by Sinbad where applicable.

Where a specific policy governs a specific subject, that policy applies together with these Terms.

If there is an inconsistency between these Terms and a specific Platform policy, the more specific policy applies to the relevant subject unless Applicable Law requires otherwise.

19. User-Generated Content

Users may be permitted to submit User Content, including reviews, ratings, messages, images, documents, product listings, proof documents, delivery information, support requests, or other materials.

By submitting User Content, you represent that:

  • You have the right to submit the content.
  • The content is accurate where it describes facts.
  • The content does not violate Applicable Law.
  • The content does not infringe third-party rights.
  • The content is not fraudulent, abusive, obscene, defamatory, misleading, or harmful.

You retain ownership of your User Content, subject to the license granted to Sinbad in these Terms.

You grant Sinbad a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, store, use, reproduce, display, publish, translate, format, transmit, distribute, and process User Content for the purpose of operating, securing, improving, supporting, promoting, enforcing, and administering the Platform and related services.

Sinbad may remove, restrict, moderate, preserve, disclose, or refuse User Content where reasonably necessary for legal compliance, privacy protection, fraud prevention, safety, dispute resolution, marketplace integrity, or enforcement of these Terms.

20. Seller Content

Seller Content includes product listings, product descriptions, images, prices, inventory data, preparation times, delivery information, business documents, brand materials, policies, tax information, banking information, and any other material submitted by a Seller.

Sellers are responsible for ensuring that Seller Content is accurate, lawful, current, complete, and not misleading.

Sellers must not list prohibited, restricted, counterfeit, unsafe, infringing, mislabelled, expired, unavailable, unlawfully imported, unlawfully advertised, or otherwise unlawful products.

Sinbad may review, reject, remove, suspend, correct formatting of, or require changes to Seller Content where reasonably necessary for legal compliance, marketplace standards, Customer protection, delivery operations, fraud prevention, or Platform integrity.

21. Intellectual Property

The Platform, Platform Content, software, source code, databases, page layouts, workflows, trademarks, logos, trade names, icons, graphics, documentation, and related materials are owned by Sinbad or its licensors, except where owned by Sellers, Users, or third parties.

Users must not copy, reproduce, modify, distribute, sell, lease, sublicense, reverse engineer, scrape, extract, republish, or commercially exploit Platform Content without prior authorization, except where expressly permitted by the Platform or Applicable Law.

Use of the Platform does not transfer any intellectual property rights to Users.

Sinbad respects intellectual property rights and may remove or restrict content alleged to infringe such rights where appropriate.

22. Communications and Notices

Sinbad may communicate with Users through the Platform, mobile applications, email, SMS, phone calls, push notifications, account dashboards, administrative notices, customer support channels, or other official communication channels.

Operational messages relating to Orders, delivery, payment, security, account status, policy updates, or legal notices may be required for use of the Platform.

Users are responsible for maintaining accurate contact information and reviewing communications sent through official channels.

23. Privacy and Personal Data

Sinbad processes personal data in accordance with the Privacy Policy and Applicable Law.

The Privacy Policy explains the types of data collected, purposes of processing, legal bases where applicable, sharing, retention, security, User rights, children’s privacy, international transfers, and contact details.

By using the Platform, you acknowledge that personal data may be processed as described in the Privacy Policy and as necessary to operate the Platform, process Orders, provide delivery services, prevent fraud, comply with legal obligations, and protect marketplace integrity.

24. Fraud Prevention and Security

Sinbad may use manual and automated tools to detect, prevent, investigate, and respond to fraud, abuse, unauthorized access, payment misuse, promotional abuse, suspicious transactions, security threats, account misuse, false claims, and other conduct that may harm Users, Sellers, Drivers, Delivery Providers, Sinbad, or the Platform.

Sinbad may require additional verification, delay or cancel transactions, restrict accounts, preserve records, reject suspicious activity, suspend access, or report unlawful conduct to competent authorities where appropriate and permitted by law.

Users must not interfere with fraud-prevention, security, payment, identity, delivery, refund, settlement, payout, or compliance systems.

25. Prohibited Activities

Users must not use the Platform to:

  • Violate Applicable Law.
  • Commit fraud, theft, deception, money laundering, bribery, or other unlawful activity.
  • Abuse promotions, refunds, cancellations, returns, chargebacks, delivery processes, or support processes.
  • Sell, purchase, list, transport, or request prohibited or restricted products unlawfully.
  • Submit false evidence, false claims, false reviews, or false identity information.
  • Interfere with Platform operations or security.
  • Access or attempt to access another User’s Account or non-public systems.
  • Upload malware, harmful code, or unauthorized tracking.
  • Scrape, harvest, copy, or extract Platform data without authorization.
  • Harass, threaten, discriminate against, exploit, or harm another person.
  • Circumvent fees, commissions, payment obligations, delivery rules, or marketplace controls.

Sinbad may take appropriate enforcement action in response to prohibited activities.

26. Platform Availability

Sinbad aims to provide a reliable Platform, but availability may be affected by maintenance, updates, network issues, third-party services, payment gateways, delivery systems, hosting providers, cybersecurity events, legal requirements, force majeure, or other circumstances.

Sinbad does not guarantee uninterrupted, error-free, or continuously available access to the Platform.

Sinbad may suspend, limit, or modify Platform access where reasonably necessary for maintenance, security, legal compliance, operational integrity, or service improvement.

27. Suspension, Restriction, and Termination

Sinbad may suspend, restrict, or terminate access to the Platform, an Account, a Seller account, a Driver account, a product listing, a payment method, a delivery service, or any Platform feature where reasonably necessary and permitted by law.

Reasons may include:

  • Violation of these Terms or Platform policies.
  • Fraud, abuse, or suspicious activity.
  • Failure to provide required verification.
  • Legal or regulatory requirement.
  • Payment failure or chargeback abuse.
  • Seller non-compliance.
  • Safety or security risk.
  • Marketplace-integrity risk.
  • Inactive, duplicate, or unauthorized Accounts.

Where appropriate and permitted by law, Sinbad may provide notice, an opportunity to respond, or an appeal or support process.

Termination or suspension does not automatically cancel obligations that arose before the effective date of suspension or termination.

28. Effect of Termination

Upon termination or closure of an Account:

  • Access to certain Platform features may end.
  • Pending Orders may be completed, cancelled, refunded, or handled according to applicable policies and law.
  • Outstanding payment, refund, delivery, return, Seller, payout, or compliance obligations may continue.
  • Sinbad may retain records as described in the Privacy Policy and as required for legal, accounting, tax, fraud-prevention, dispute-resolution, audit, or compliance purposes.

Sections intended by their nature to survive termination shall continue to apply, including provisions relating to intellectual property, User Content licenses, payment obligations, liability, indemnification, dispute handling, privacy, audit rights, and legal compliance.

29. Limitation of Liability

To the maximum extent permitted by Applicable Law, Sinbad is not liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages arising from or related to use of the Platform.

Sinbad is not responsible for losses caused solely by:

  • User-provided inaccurate information.
  • Seller misconduct or Seller-supplied inaccurate product information.
  • Seller-managed delivery failures.
  • Customer unavailability or incorrect Delivery Address.
  • Unauthorized Account use not caused by Sinbad.
  • Third-party payment, banking, telecommunications, hosting, logistics, or technology failures outside Sinbad’s reasonable control.
  • Events beyond Sinbad’s reasonable control.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Applicable Law, including mandatory consumer rights, fraud, wilful misconduct, gross negligence where not lawfully excludable, or any liability that Applicable Law does not permit Sinbad to exclude.

30. Indemnification

To the extent permitted by Applicable Law, Users agree to indemnify, defend, and hold harmless Sinbad, its affiliates, officers, employees, directors, contractors, service providers, and authorized representatives from claims, losses, damages, penalties, costs, and expenses arising from:

  • Violation of these Terms or Platform policies.
  • Violation of Applicable Law.
  • User Content or Seller Content submitted by the User.
  • Fraud, abuse, misconduct, or negligence.
  • Unauthorized use of an Account.
  • Infringement of third-party rights.
  • Seller products, listings, delivery obligations, tax obligations, product claims, product defects, or regulatory non-compliance.

This section does not require a consumer to indemnify Sinbad for matters that Applicable Law does not permit.

31. Force Majeure

Sinbad is not responsible for delay or failure to perform obligations where caused by circumstances beyond its reasonable control.

Such circumstances may include natural disasters, extreme weather, fire, flood, epidemic, pandemic, war, civil unrest, government action, legal restriction, labor disruption, power failure, telecommunications failure, internet outage, payment-network disruption, logistics disruption, supply-chain disruption, cybersecurity incident, or other events beyond reasonable control.

Sinbad will use reasonable efforts to resume affected services when practicable.

32. Changes to the Platform

Sinbad may update, improve, suspend, replace, remove, or discontinue Platform features, tools, content, workflows, designs, policies, or services from time to time.

Changes may be made for security, legal compliance, operational efficiency, customer experience, Seller experience, delivery operations, financial controls, fraud prevention, product improvement, or business reasons.

Where a change materially affects legal rights or obligations, Sinbad may provide notice where appropriate or required by Applicable Law.

33. Changes to these Terms

Sinbad may update these Terms from time to time.

Updated Terms become effective on the published Effective Date or Last Updated date unless another effective date is stated or Applicable Law requires otherwise.

Where appropriate, material changes may be communicated through the Platform or official communication channels.

Continued use of the Platform after updated Terms become effective constitutes acceptance of the updated Terms, except where Applicable Law requires a different form of consent.

34. Governing Law and Dispute Resolution

These Terms shall be interpreted in accordance with the applicable laws and regulations of Kuwait, to the extent applicable to Sinbad and the relevant transaction, unless mandatory law requires another governing law.

Nothing in these Terms limits any mandatory consumer rights, mandatory jurisdiction rights, or legal remedies granted under Applicable Law.

Users are encouraged to contact Sinbad first through official support channels so that disputes may be reviewed and resolved where possible.

Any dispute that cannot be resolved through Platform support shall be handled by the competent authorities and courts having jurisdiction under Applicable Law.

35. Severability

If any provision of these Terms is held invalid, unlawful, or unenforceable, that provision shall be interpreted or limited to the minimum extent necessary to make it valid and enforceable, where permitted by law.

If such interpretation is not possible, the invalid, unlawful, or unenforceable provision shall be severed, and the remaining provisions shall continue in full force and effect.

36. No Waiver

Sinbad’s failure or delay in enforcing any right or provision under these Terms does not constitute a waiver of that right or provision.

Any waiver must be express and does not waive any other or future right unless expressly stated.

37. Assignment

Users may not assign, transfer, or delegate rights or obligations under these Terms without Sinbad’s prior written approval, except where Applicable Law grants a non-waivable right.

Sinbad may assign, transfer, or delegate its rights or obligations in connection with a merger, acquisition, restructuring, sale of assets, corporate transaction, service-provider arrangement, or operation of the Platform, provided that mandatory consumer rights remain protected.

38. Entire Agreement

These Terms, together with the Privacy Policy, Shipping & Delivery Policy, Return, Refund & Cancellation Policy, applicable Seller agreements, and any other policies or terms published by Sinbad where applicable, constitute the complete agreement between Sinbad and the User regarding use of the Platform.

These Terms replace any prior public Terms of Service or Terms and Conditions for the Platform, without affecting rights or obligations that already accrued under prior versions.
